Terms of Service

1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “you”) and Altus Works Pte. Ltd. (UEN: 202612232K) (“Company”, “we”, “us”), a company incorporated in the Republic of Singapore. By accessing our website or using our platform (“Platform”), you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

2. Eligibility

The Platform is intended for use by institutional clients, professional investors, and accredited investors. By using the Platform, you represent that:

• You are acting in a professional or institutional capacity.
• You have the authority to enter into these Terms on behalf of your organisation, if applicable.
• Your use of the Platform complies with all laws and regulations applicable in your jurisdiction.

3. Nature of the Service

Altus Works provides market analytics and information services only. The Platform delivers quantitative market indicators, state readings, and analytical outputs derived from proprietary models grounded in complexity science. Outputs describe the state of markets — not the state of any client's portfolio or investment position.

4. Platform Development

Users acknowledge that:

• The Platform is being actively developed and refined.
• Features, capabilities, and availability may change as the product evolves.

5. User Accounts and Access

Access to the Platform may require registration and approval. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify us immediately of any unauthorised access.

We reserve the right to suspend or terminate access at our discretion, including where we reasonably believe a breach of these Terms has occurred.

6. Intellectual Property

All intellectual property rights in the Platform, including but not limited to software, algorithms, models, methodologies, analytics outputs, documentation, and visual design, are owned by Altus Works or its licensors. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Platform solely for your internal business purposes.

You must not:

• Copy, modify, reverse-engineer, decompile, or disassemble any part of the Platform.
• Redistribute, sublicense, or make the Platform available to third parties without written consent.
• Use the Platform outputs to build or train competing products or services.
• Remove or alter any proprietary notices, labels, or branding.

7. Data and Privacy

Your use of the Platform is subject to our Privacy Policy, which describes how we collect, use, and protect your personal data in accordance with the Personal Data Protection Act 2012 (“PDPA”) of Singapore.

8. Acceptable Use

You agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable law or regulation.
• Attempt to gain unauthorised access to any part of the Platform, our systems, or networks.
• Introduce viruses, malware, or other harmful code.
• Use automated systems (bots, scrapers) to access the Platform without written permission.
• Interfere with or disrupt the integrity or performance of the Platform.

9. Availability and Modifications

We strive to maintain continuous availability of the Platform but do not guarantee uninterrupted or error-free operation. We reserve the right to modify, suspend, or discontinue any feature of the Platform at any time, with or without notice. Scheduled maintenance windows will be communicated in advance where practicable.

10. Limitation of Liability

To the maximum extent permitted by the laws of the Republic of Singapore:

• The Platform is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory.
• We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity, arising from your use of the Platform.
• Our total aggregate liability for any claim arising under these Terms shall not exceed the fees paid by you in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Altus Works, its directors, officers, employees, and agents from any claims, losses, liabilities, damages, costs, or expenses (including reasonable legal fees) arising from your breach of these Terms, misuse of the Platform, or violation of any applicable law or regulation.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore.

Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Singapore, unless the parties agree in writing to submit the dispute to arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with its rules.

13. Termination

Either party may terminate these Terms by providing thirty (30) days' written notice. We may terminate or suspend your access immediately if you breach these Terms. Upon termination, your right to use the Platform ceases immediately. Sections relating to intellectual property, limitation of liability, indemnification, and governing law shall survive termination.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms, together with the Privacy Policy and Disclaimer, constitute the entire agreement between you and Altus Works regarding the use of the Platform and supersede all prior agreements and understandings. Any separate subscription or service agreement executed between you and Altus Works shall take precedence over these Terms to the extent of any conflict.
